Position Overview
The Chief Legal Officer (CLO) is responsible for all legal matters at SeaTrain Technology. The CLO provides strategic legal advice, manages risks, ensures compliance with local and
international laws, oversees contracts, and navigates regulatory environments critical to the
company’s innovative maritime, defense, and energy operations.
Key Responsibilities and Obligations:
1. Legal Strategy and Advisory
- Explanation: Providing legal guidance aligned with SeaTrain’s strategic goals
and operations. - Responsibility: Advising executives on legal implications of business decisions,
including expansion, funding, partnerships, and regulatory compliance. - Real-Life Application: When SeaTrain considers international partnerships or
manufacturing agreements, the CLO reviews and advises on legal risks, ensures
favorable contractual terms, and recommends how to mitigate potential
liabilities.
2. Compliance with Florida, Federal, and International Laws
- Explanation: Ensuring SeaTrain strictly adheres to all relevant laws and
regulations at every jurisdiction it operates within. - Responsibility: Monitoring legal developments, managing compliance programs,
ensuring regulatory approvals, and managing interactions with regulatory
bodies. - Real-Life Application: The CLO leads SeaTrain’s compliance with maritime laws,
environmental regulations, and federal/state corporate laws, preventing costly
penalties or disruptions, especially in highly regulated industries like defense
and shipping.
3. Contracts and Negotiations
- Explanation: Drafting, reviewing, negotiating, and managing contracts and
agreements critical to SeaTrain’s business operations. - Responsibility: Ensuring contracts clearly define responsibilities, protect
company interests, minimize risks, and enhance profitability. - Real-Life Application: When SeaTrain signs contracts with global shipyards to
build thousands of modular submersible gliders, the CLO manages negotiations
and contract terms, safeguarding intellectual property and ensuring production
standards and timelines are legally enforced.
4. Intellectual Property Management
- Explanation: Protecting SeaTrain’s patented technologies and innovations.
- Responsibility: Overseeing patent applications, maintaining intellectual property
rights, preventing infringement, and managing licensing agreements. - Real-Life Application: The CLO ensures SeaTrain’s patented submersible glider
technology is fully protected, filing new patents, pursuing legal action against
infringements, and negotiating technology licenses or strategic partnerships that
generate revenue and strategic advantages.
5. Litigation and Dispute Resolution
- Explanation: Managing any legal disputes involving the company, protecting
SeaTrain’s financial and reputational interests. - Responsibility: Overseeing litigation strategies, settlements, arbitrations, or
mediations to resolve conflicts effectively. - Real-Life Application: If a dispute arises with a shipyard or partner about delivery
timelines or quality standards, the CLO leads resolution efforts, minimizing
operational impact, financial exposure, and negative publicity.
6. Corporate Governance and Board Advisory

transparency, and accountability. - Responsibility: Advising the Board of Directors on governance, legal

lobbying efforts, and influencing policy to SeaTrain’s advantage. - Real-Life Application: The CLO engages directly with U.S. Coast Guard, Florida
DEP, federal agencies, and international maritime authorities, advocating for
regulatory standards favorable to SeaTrain’s innovative maritime solutions.
9. Environmental and Sustainability Compliance
- Explanation: Ensuring SeaTrain’s environmental practices meet or exceed
regulatory standards. - Responsibility: Overseeing environmental legal compliance, sustainability
certifications, and ESG (Environmental, Social, Governance) strategies. - Real-Life Application: Given SeaTrain’s commitment to sustainability, the CLO
secures environmental certifications, advises on green practices, and ensures
compliance with environmental laws both domestically (Florida DEP) and
internationally.
10. Employment and Labor Law Compliance
- Explanation: Ensuring SeaTrain’s employment practices comply fully with state,
federal, and international labor laws. - Responsibility: Overseeing legal aspects of hiring, employment contracts,
workplace safety, dispute resolutions, and HR policies. - Real-Life Application: As SeaTrain scales rapidly, the CLO ensures employment
contracts, workplace safety protocols, and international staffing policies meet
Florida employment standards and international labor laws, avoiding costly
employment-related legal issues.
Florida-specific Legal Considerations
- Corporate Law Compliance: Florida-specific business regulations, corporate
governance, and mandatory filings with the Florida Department of State. - Environmental Regulations: Compliance with strict environmental standards set
by Florida Department of Environmental Protection, especially relevant given
